SeatSpend terms of service
1. Who these terms are between
These terms are an agreement between HH Online Ventures LLC, a Florida limited liability company ("we", "us"), and the organization that installs SeatSpend on its monday.com account ("you"). The person who installs the app confirms they are authorized to accept these terms for that organization.
2. What SeatSpend does
SeatSpend is an administration view for monday.com. It reads your account's user list and each user's last activity date through monday's API, groups paid seats by how recently they were active, multiplies the seats it counts as idle by the per seat price you enter, and can send that summary to you as a monday notification on a schedule you choose. It also counts down to a renewal date you enter.
SeatSpend does not remove, deactivate, downgrade, or otherwise change any user, seat, board, or plan. Every action that changes your monday account remains yours to take in monday.
3. The numbers are estimates, and the inputs are yours
This matters more than anything else on this page, so it is stated plainly.
- The dollar figures SeatSpend shows are estimates. They are the per seat price you enter, multiplied by the number of seats the app counts as confidently idle. They are not a quote, an invoice, a bill, a refund calculation, or a statement of what monday will charge you.
- Activity data comes from monday. SeatSpend reports what monday reports. If monday's last activity data is incomplete, delayed, or does not reflect how someone actually uses their seat, the report will reflect that too.
- "Idle" means no recorded activity in monday for a number of days. It is a statement about seat usage, not about a person, their performance, or their employment.
- Decisions about people and about spending are yours. Verify before you act on a report. We are not responsible for the consequences of removing a seat, a user, or a plan.
4. Billing
SeatSpend is sold through the monday.com marketplace and billed by monday under monday's own terms. monday collects payment, handles taxes and currency, manages renewals and cancellations, and applies its own refund policy. We do not process, store, or see your payment details.
New installs begin with a free trial as configured in the marketplace. When a subscription ends or lapses, the seat report and scheduled digests stop, and the settings screen remains reachable so you can turn digests off. Reinstating the subscription restores the app.
5. Your responsibilities
- Keep your monday account and its admin access secure. SeatSpend acts within the permissions you grant it.
- Use SeatSpend only for your own organization's monday account, and only in ways permitted by monday's terms and by applicable law.
- Do not attempt to interfere with the app or its hosting, or to access data belonging to another account.
- If your use of seat activity data is subject to employment, works council, or data protection obligations in your jurisdiction, meeting those obligations is your responsibility.
6. Data
SeatSpend stores your settings and a small set of aggregate counters. It does not store personal data about your users: names and activity dates are read live from monday, used to build one report or digest, and discarded. The full detail, including every domain the app contacts, is in the privacy policy, which forms part of these terms.
When you uninstall, monday notifies the app and the settings, counters, and permission token stored for your account are deleted.
7. Availability and changes
SeatSpend runs on monday's own app hosting. We aim to keep it available and correct, but we do not promise uninterrupted or error free service, and availability depends in part on monday's platform and API.
We may improve, change, or discontinue features. If we make a material change that reduces what the app does for you, we will note it here or in the app. monday may also change its platform or APIs in ways that affect the app.
8. Support
Support is by email at HHonlineventures@proton.me. We aim to respond within two business days. Include your monday account name and what you were looking at, and a screenshot if something looks wrong.
9. Warranty disclaimer
SeatSpend is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non infringement. We do not warrant that the app's reports, estimates, or notifications will be uninterrupted, timely, complete, or error free.
10. Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or relating to SeatSpend, even if we have been advised of the possibility.
Our total liability for any claim relating to SeatSpend is limited to the amount you paid for the app in the twelve months before the event giving rise to the claim.
Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law.
11. Termination
You can stop using SeatSpend at any time by uninstalling it from your monday account. We may suspend or end access if these terms are breached, if required by monday or by law, or if we discontinue the app. On termination, the deletion described in section 6 applies.
12. Changes to these terms
If these terms change, the effective date at the top changes with them, and the current version always lives at this address. Continuing to use SeatSpend after a change means the updated terms apply.
13. Governing law
These terms are governed by the laws of the State of Florida, United States, without regard to its conflict of laws rules. The courts located in Florida have jurisdiction over disputes relating to these terms, except where applicable law gives you the right to bring a claim elsewhere.
